Incorporating a company can be relatively straightforward, or it can be extremely complex, given the objective purposes for which it is intended to serve. As such, the cost of incorporating a company may be at the base rate, or as additional time and/or expenses are incurred, the prices will increase. Our basic rate legal fees starts at a mere $595.00, nevertheless as you can well note from the following charts there are considerable additional charges that must be paid in the process.

Alberta Provincial Incorporation approximates:

  $    275.00  Provincial Charge for Incorporation (mandatory)
  $      60.00  Electronic Incorporation Filing Charge
  $      45.00 NUANS Name Reservation [one] (mandatory if not a numbered company)
  $    595.00  Legal Fees Work Specific to Base Incorporation (basic package includes: drafting of articles of incorporation, preparation of by-laws, incorporation resolutions, registers and ledgers, reporting letter) + * ^ for additional legal work see below
  $      15.00  Share Certificates (further corporate supplies are available at additional cost, i.e. corporate seal, minute book binder)
  $        9.50  Disbursements and Other Charges (low approximation, i.e. postage, printing, copies; whereas such things as couriers represent further charges)
  $      36.23 Taxes (unavoidable, where applicable)
  $  1,035.73 BASE INCORPORATION COST - approximate [numbered company deduct $45.00 + GST]

+ Beyond the base incorporation are such matters as licensing, foreign registrations, unanimous shareholder agreements, legal consultations, amongst a range of contracts and legal advice. There are a range other costs that will also be potentially incurred, including annual renewals, registered office services, etc.

* Standard hourly legal rate of lawyer Christopher Neufeld for work beyond the base incorporation work is $400 per hour, plus applicable taxes, disbursements and other charges.

Note prices are subject to change, together with being dependent upon additional work that needs to be undertaken.

Federal Incorporation (headquartered / operating in Alberta) approximates:

  $    200.00  Federal Charge for Incorporation (mandatory)
  $      45.00  NUANS Name Reservation [one] (mandatory if not a numbered company)
  $    275.00  Extra-Provincial Registration (Alberta)
  $      60.00  Electronic Filing Charge for Extra-Provincial Registration
  $    595.00  Legal Fees Specific to Base Incorporation (basic package includes: drafting of articles of incorporation, preparation of by-laws, incorporation resolutions, registers and ledgers, reporting letter) + * ^ for additional legal work see below
  $    145.00  Legal Work Related to Extra-Provincial Registration
  $      15.00  Share Certificates (further corporate supplies are available at additional cost, i.e. corporate seal, minute book binder)
  $        9.50  Disbursements and Other Charges (low approximation, i.e. postage, printing, copies; whereas such things as couriers represent further charges)
  $      47.08 Taxes (unavoidable, where applicable)
